By creating an account, accessing, or using Agency Standup, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
Agency Standup is a standup tracking and project management platform designed for agencies and distributed teams. Our Services include:
Daily Standup Management — Capture and organize team updates with structured "What I Did," "What I'll Do," and "Blockers" entries
Time Tracking — Log hours against tasks with activity categorization and hourly rate tracking
GitHub Integration — Sync repositories, view commit history, and auto-generate standup entries from code changes
AI-Powered Summaries — Generate stakeholder summaries, executive briefs, and commit-based standup items using artificial intelligence
Metrics & Dashboards — Personal, project, and company-level analytics and reporting
Team & Company Management — Multi-tenant organization management with role-based access control
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.
3. User Accounts
3.1 Account Creation
To use certain features of our Services, you must create an account. You may register using:
Email and password
Single Sign-On (SSO) via Google or GitHub
You must provide accurate, complete, and current information during registration.
3.2 Account Security
You are responsible for:
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Types
Accounts may be associated with a company (organization) within Agency Standup. Company administrators have additional privileges to manage users, projects, and billing.
4. Subscription and Payment
4.1 Subscription Plans
Agency Standup offers subscription-based access to the Services. Available plans, features, and pricing are displayed on our website and may change from time to time.
4.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually)
Payment is processed securely through Stripe
You authorize us to charge your payment method for all applicable fees
4.3 Seat-Based Pricing
Our subscriptions may be based on the number of user seats. You agree to pay for all seats used by your organization.
4.4 Free Trials
We may offer free trial periods. At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
4.5 Cancellation and Refunds
You may cancel your subscription at any time through your account settings
Cancellation takes effect at the end of your current billing period
We do not provide refunds for partial billing periods unless required by law
4.6 Failed Payments
If payment fails, we may suspend or terminate your access to the Services until payment is successfully processed.
5. Acceptable Use Policy
You agree not to use the Services to:
Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the integrity or performance of the Services
Harass, abuse, or harm other users
Use the Services for any fraudulent or deceptive purposes
Scrape, crawl, or use automated means to access the Services without our consent
Resell, sublicense, or redistribute the Services without authorization

User interface designs and visual elements

You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Copy, modify, or create derivative works of the Services
Reverse engineer, decompile, or disassemble any part of the Services
Remove or alter any proprietary notices or labels
7. User Content
7.1 Your Content
"User Content" refers to any data, text, or information you submit to the Services, including standup entries, time logs, project details, and notes.
You retain ownership of your User Content. By submitting User Content, you grant us a limited license to:
Store, process, and display your content to provide the Services
Use your content to improve and develop our Services
Generate anonymized, aggregated insights (without identifying you or your organization)
7.2 Content Responsibilities
You are solely responsible for your User Content and represent that:
You have all necessary rights to submit the content
Your content does not violate any laws or third-party rights
Your content is accurate and not misleading
7.3 Content Removal
We may remove User Content that violates these Terms or is otherwise objectionable, at our sole discretion.
8. Third-Party Integrations
Our Services integrate with third-party platforms and services, including:
GitHub — For repository synchronization and commit tracking
Google — For Single Sign-On authentication
OpenAI — For AI-powered summaries and content generation
Stripe — For payment processing
8.1 Third-Party Terms
Your use of third-party integrations is subject to those providers' terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
8.2 API Usage
When you connect third-party accounts, you authorize us to access and use data from those services in accordance with the permissions you grant.
8.3 AI-Generated Content
Content generated by our AI features is provided "as is." You are responsible for reviewing and verifying AI-generated content before use.
9. Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you consent to the data practices described in our Privacy Policy.
10. Service Availability and Modifications

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

You remain liable for any outstanding fees
We may delete your User Content after a reasonable retention period
Provisions that by their nature should survive termination will remain in effect
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Agency Standup and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

These Terms are governed by the laws of the jurisdiction in which Agency Standup is incorporated, without regard to conflict of law principles.

14.3 Jurisdiction
Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in our jurisdiction, and you consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. When we make changes:

We may notify you via email or through the Services for significant changes
Your continued use of the Services after changes constitutes acceptance of the updated Terms
